Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of the AddisDB website at addisdb.com, our online store, blog, help center, accounts, and our team, collaboration, and sharing services (together, the "Services"), provided by Cenova Spark LLC ("we", "us", "our").

The AddisDB desktop application is licensed separately under our End-User License Agreement (EULA). Where the app and the Services overlap, the EULA governs the app and these Terms govern the Services.

By accessing or using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. These Terms apply whether or not you pay us anything.

2. Eligibility and accounts

You must be able to form a binding contract to use the Services. Some Services require an account, which you may create or access through our authentication provider. You are responsible for your account, for keeping your credentials secure, and for all activity under it. Provide accurate information and keep it current. If you use the Services for an organization, you represent that you are authorized to bind it, and “you” includes that organization.

3. Acceptable use

You agree to use the Services lawfully and in good faith. You may not, and may not permit anyone else to:

• violate any law or regulation, or infringe or misappropriate anyone’s rights;
• access, use, or interfere with any account, system, or data you are not authorized to access;
• upload, share, or link content that is unlawful, infringing, deceptive, hateful, or harassing, or that promotes slavery, human trafficking, child exploitation, supremacism, terrorism, or violence;
• disrupt, overload, probe, or attempt to breach the security of the Services; or
• scrape or harvest the Services except as expressly permitted, or misuse them to build a competing product or service.

We may determine, in our sole and reasonable discretion, that a use violates this section and may act under Section 8 (Suspension, revocation, and termination) accordingly.

4. Our values

AddisDB and CenovaSpark are anti-slavery, anti-human-trafficking, and anti-supremacy, and we reject hate and violent extremism. You may not use the Services to promote, facilitate, or carry out any of these, and we may act immediately on any such use as described in these Terms and our EULA.

5. Purchases, subscriptions, and billing

Paid plans, subscriptions, and store purchases are billed through our third-party payment processor. Prices are shown at checkout and may exclude taxes, which you are responsible for. Subscriptions renew automatically until cancelled; you may cancel effective at the end of the current term. We may change prices and features on a going-forward basis.

Except where required by law or expressly stated at purchase, payments are non-refundable. Downloadable and licensed software is provided under the EULA and is licensed, not sold.

6. Your content and shared snapshots

The Services let you create accounts and teams and publish read-only shared snapshots of data you choose to share. You retain ownership of the content you submit ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display Your Content solely to operate and provide the Services — for example, to render a snapshot at its share link.

You are responsible for Your Content, for having the right to share it, and for not including anything you are not permitted to disclose. We may remove content or disable share links or access that we believe violate these Terms, the EULA, or the rights of others.

7. Intellectual property

The Services and their content (excluding Your Content) are owned by us or our licensors and protected by intellectual-property laws. "AddisDB" and "CenovaSpark" and our logos are our trademarks; you may not use them without our prior written permission. We grant you no rights except as expressly stated in these Terms.

8. Suspension, revocation, and termination

We may suspend, disable, revoke, or terminate your access to the Services — in whole or in part, and with respect to any individual, team, organization, or company — at our discretion and to the maximum extent permitted by law, immediately and with or without notice, if you breach these Terms or the EULA, if fees are unpaid, or if we reasonably determine that your use is unlawful, or is unethical, immoral, abusive, or otherwise objectionable.

You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

9. Third-party services and links

The Services integrate with or link to third-party services — such as authentication, payments, hosting, and AI providers. We do not control them and are not responsible for them, and your use of them is governed by their own terms.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICES. OUR TOTAL AGGREGATE LIABILITY RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR USD $50.

12. Indemnification

To the extent permitted by law, you will indemnify and hold us harmless from claims, losses, and expenses arising out of Your Content, your use of the Services, or your breach of these Terms.

13. Changes to these Terms

We may update these Terms from time to time. Material changes take effect when we post the updated Terms with a new effective date, or as otherwise required by law; your continued use of the Services after that means you accept them.

14. Governing law

These Terms are governed by the laws of the State of Maryland, USA, without regard to its conflict-of-laws rules. You and we submit to the exclusive jurisdiction and venue of the state and federal courts located in Prince George’s County, Maryland.
